Cyriel Ruers and Saskia Stolk successfully assisted a company specialising in chip and electronic device security in obtaining approval from the Bureau Toetsing Investeringen (‘BTI’) for the acquisition of the company by a US listed technology company.
The target company operates in the field of highly sensitive technology, producing, among other things, software and hardware with cryptanalytic functions that are also supplied to the Dutch government. The BTI conducted extensive investigations into the transaction's potential risks to national security, also in light of US sanctions laws and the target company's customer base. Despite initial concerns, the BTI ultimately granted unconditional approval for the acquisition.
