Cyriel Ruers and Saskia Stolk successfully assisted a company specialised in chip and electronic device security in obtaining approval from the Bureau Toetsing Investeringen (Investment Screening Bureau - "BTI") for the acquisition of the company by a listed US technology company.
The target company is active in the field of very sensitive technology and develops software and hardware with cryptanalytic functions that are also supplied to the Dutch government. The BTI conducted extensive investigations into the transaction's potential risks to national security, also in light of US sanctions laws and the target company's customer base. Despite initial concerns, the BTI ultimately granted unconditional approval for the acquisition.
