Diederik Schrijvershof, Annabel Kingma and Paul Breithaupt successfully advised Zevij-Necomij B.V. (“ZN”) regarding an exemption request and in obtaining approval from Dutch Authority for Consumers and Markets (“ACM”) for the acquisition of Transferro B.V. (“Transferro”).
ZN is a purchasing organisation for technical wholesalers. The wholesalers affiliated to ZN are located throughout the Netherlands and Belgium. Transferro is also a purchasing organisation for technical wholesalers. Transferro is a member of ZN for this purpose. Wholesalers affiliated to Transferro are located throughout the Netherlands and parts of Belgium.
An exemption from the ACM was necessary because of Transferro’s financial position. The acquisition has prevented a bankruptcy of Transferro and allows to continue its current activities, under the banner of ZN.
On 7 September 2023 the transaction was notified to the ACM. The ACM granted an exemption for the transaction on 15 September 2023. On 20 October 2023 the transaction was approved by the ACM.
