Cyriel Ruers and Saskia Stolk successfully assisted a company specialised in security for chips and electronic devices, in obtaining approval from the Dutch Foreign Direct Investment Agency ("BTI") for its acquisition by a US listed technology company.
The target company operates in the field of highly sensitive technology, producing, among other things, software and hardware with cryptanalytic functions that are also supplied to the Dutch government. The BTI conducted an extensive investigation into the transaction's potential risks to national security, also in light of US sanctions laws and the target company's customer base. Despite initial concerns, the BTI ultimately granted unconditional approval for the acquisition.
