Diederik Schrijvershof is representing a third party in the (second phase) merger control procedure by the Netherlands Authority for Consumers and Markets (“ACM”) into the plan and acquisition of Iddink by Sanoma Learning. ACM recently decided not to agree to this acquisition as a result of its first phase investigation. Through Malmberg, Sanoma Learning is the publisher of (digital) learning materials and tests. Iddink is a distributor of (digital) learning materials. In addition, Iddink owns Magister, an electronic learning environment and student administration system that is widely used in secondary education. In its follow-up investigation into the acquisition, ACM will focus on the effects of the planned acquisition on competition and innovation in the market for (digital) learning material.
